1. Scope of the Services

Adjustibl Inc. is a recordkeeping, transaction-review, and workflow support product intended to help users organize investment records, review transaction history, and inspect certain calculation outputs.

Adjustibl Inc. is not legal advice, tax advice, accounting advice, financial advice, investment advice, brokerage services, or portfolio management services.

Any information, summaries, calculations, explanations, or reports made available through the Services are for general informational and recordkeeping purposes only and must not be relied on as a substitute for professional advice tailored to your circumstances.

2. Eligibility and account access

You may use the Services only if you are legally permitted to do so and only in compliance with these Terms and applicable law.

Access to some or all of the Services may be limited, including through closed beta, allowlist, or approval-based access controls. We may grant, deny, suspend, restrict, or revoke access at our discretion, including where we believe access is unauthorized, unlawful, creates risk, or may harm the Services or other users.

• using only an account and sign-in method that you are authorized to use;
• maintaining the security of your Google account and any device used to access the Services;
• all activity occurring through your account, except to the extent caused by our breach of applicable law.

3. Your information and responsibility for correctness

You are solely responsible for the completeness, legality, quality, and accuracy of any information, files, transaction data, portfolio data, logbook data, identifiers, descriptions, prices, quantities, dates, currencies, account details, and other content you upload, enter, edit, or maintain in Adjustibl Inc.

Adjustibl Inc. may provide calculations, explanations, flags, warnings, workflow suggestions, or report outputs, but you remain solely responsible for verifying whether the underlying data and resulting outputs are correct and suitable for your use.

• ensuring that imported or manually entered records are correct;
• reviewing calculations, summaries, and reports before relying on them;
• confirming that assumptions, overrides, edits, or classifications reflect your intended records;
• determining whether outputs are appropriate for your tax, accounting, legal, financial, or reporting purposes.

4. No reliance and no professional advice

Adjustibl Inc. does not represent or warrant that any calculation, report, flag, workflow suggestion, or output is complete, correct, sufficient, or appropriate for your circumstances.

Transaction, adjusted cost base, income, profit and loss, foreign exchange, wash-rule, superficial-loss, or similar outputs may depend on assumptions, source-data quality, manual inputs, legal interpretation, or facts outside the Services.

You must not rely on the Services as the sole basis for filing taxes, making investment decisions, satisfying legal obligations, or communicating final positions without your own review.

5. Acceptable use

You must not:

• use the Services in violation of any applicable law, regulation, or third-party right;
• upload or submit information you do not have the right to use or disclose;
• attempt to gain unauthorized access to any account, system, network, data, or environment;
• interfere with, disrupt, degrade, probe, scan, or test the vulnerability of the Services except as expressly authorized by us in writing;
• introduce malicious code, harmful content, bots, scrapers, or abusive automation into the Services;
• copy, mirror, frame, scrape, data-mine, or otherwise extract material from the Services except as permitted by law or expressly authorized by us in writing;
• use the Services to build a competing product or service through unauthorized access, copying, extraction, or systematic observation;
• misrepresent your identity, affiliation, or authority.

6. Intellectual property

As between you and Adjustibl Inc., Adjustibl Inc. and its licensors retain all right, title, and interest in and to the Services, including all related software, designs, text, graphics, branding, reports, page layouts, documentation, and other content made available by us, together with all intellectual property rights in them.

Except for the limited right to use the Services in accordance with these Terms, no license or other right is granted to you by implication, estoppel, or otherwise.

You retain whatever rights you may have in the data and content you provide to Adjustibl Inc. However, you grant Adjustibl Inc. a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, adapt, and use that data and content as reasonably necessary to operate, maintain, secure, support, and improve the Services and to enforce these Terms.

7. Service changes, beta features, and availability

The Services may evolve frequently. We may add, modify, limit, suspend, remove, or discontinue any feature, workflow, page, report, integration, or functionality at any time, with or without notice.

Adjustibl Inc. may include features that are experimental, limited, incomplete, or offered as part of a beta or controlled release. Such features may contain errors, omissions, interruptions, or changes in behavior.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at any particular time or for any particular period.

8. Third-party services and links

The Services may incorporate or depend on third-party services, including authentication providers, infrastructure providers, and external websites or documentation. We do not control and are not responsible for third-party services or content except to the extent required by applicable law.

Links to third-party websites or materials are provided for convenience only and do not imply endorsement, approval, or responsibility by Adjustibl Inc.

9. Privacy

Your use of the Services is also subject to the Adjustibl Inc. Privacy Policy, which describes how we collect, use, disclose, and protect personal information.

You acknowledge that no method of electronic transmission or storage is completely secure and that, to the fullest extent permitted by law, Adjustibl Inc. is not responsible for unauthorized access or loss arising from circumstances outside our reasonable control.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis, without representations, warranties, conditions, or guarantees of any kind, whether express, implied, statutory, or collateral.

Without limiting the foregoing, Adjustibl Inc. disclaims all implied warranties and conditions of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, accuracy, completeness, performance, durability, availability, timeliness, and quiet enjoyment.

Adjustibl Inc. does not warrant that the Services will meet your requirements, will be uninterrupted, timely, secure, or error-free, that any output will be correct, complete, or suitable for reliance, that defects will be corrected, or that the Services will be free from viruses or other harmful components.

11. Limitation of liability

To the fullest extent permitted by law, Adjustibl Inc. and its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, or for any loss of profits, revenue, business opportunity, goodwill, data, records, expected savings, tax position, or investment opportunity, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Adjustibl Inc. will not be liable for any loss or damage arising out of or relating to your use of, inability to use, or reliance on the Services; errors, inaccuracies, omissions, delays, interruptions, or outages; unauthorized access to or alteration of your data or transmissions; user-provided or third-party content; or tax filings, reporting decisions, investment decisions, legal positions, accounting treatment, or professional advice decisions made by you or others.

To the fullest extent permitted by law, if Adjustibl Inc. is found liable to you for any claim arising out of or relating to the Services or these Terms, Adjustibl Inc.'s aggregate liability will be limited to the greater of the amount you paid directly to Adjustibl Inc. for the specific Services giving rise to the claim in the 12 months before the event giving rise to the claim, or CAD $100.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you.

12. Indemnity

You agree to indemnify, defend, and hold harmless Adjustibl Inc. and its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, losses, damages, judgments, settlements, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to your use of the Services, your breach of these Terms, your violation of applicable law or third-party rights, or any data, file, content, or record you upload, submit, disclose, or process through the Services.

13. Suspension and termination

We may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if we believe you have breached these Terms; your use is unauthorized, unlawful, or harmful; suspension is necessary to protect the Services, our users, service providers, or third parties; or suspension is required for legal, security, operational, or risk-management reasons.

You may stop using the Services at any time.

Sections of these Terms that by their nature should survive suspension or termination will survive, including sections relating to intellectual property, disclaimers, liability limitations, indemnity, privacy, and general legal provisions.

14. General

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed and the remainder of these Terms will remain in full force and effect to the fullest extent permitted by law.

No waiver of any provision of these Terms will be deemed a further or continuing waiver of that provision or any other provision unless made expressly in writing.

These Terms constitute the entire agreement between you and Adjustibl Inc. regarding the Services, except to the extent additional terms expressly apply to a particular feature or service.
